1. Welcome to SPOTLITE!

Welcome to SPOTLITE, operated by LBD Marketing Corp. These Terms of Use (the “Terms”) govern your use of SPOTLITE.ca (the “Website”) and any related services (collectively, the “Services”). By accessing or using the Website, you agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree, please refrain from using the Website.

2- Acceptance of the terms

a. Agreement: These Terms of Use constitute a legally binding agreement between you and LBD Marketing Corp.

a. No User Accounts: Users cannot create accounts on SPOTLITE. Each campaign requires a separate agreement.

b. Content Submission: By submitting artwork or content to SPOTLITE, you grant LBD Marketing Corp the exclusive right to use, reproduce, and distribute the submitted content for the purpose of fulfilling orders.

4. Campaigns and Orders

a. Pricing and Payment: The pricing and payment terms for each campaign will be outlined in the specific campaign agreement.

b. Order Fulfillment: Order fulfillment begins after the campaign has ended. Delivery is typically 14-21 days thereafter, but timelines are subject to change at the discretion of SPOTLITE.

c. Order Changes: SPOTLITE reserves the right to change sizes or colors to expedite order completion. Orders may be delayed or canceled at the discretion of SPOTLITE.

5. Campaign Duration

a. Campaign Period: Typical campaigns on SPOTLITE run for 7-10 days.

b. Simultaneous Campaigns: A maximum of 5 campaigns can run simultaneously.

6. Termination of Agreement

a. Cancellation: SPOTLITE reserves the right to cancel an order due to product availability or inappropriate communication by the client or their customers.

7. Privacy and Data Security

a. Data Handling: SPOTLITE does not create user accounts. For data handling practices, refer to the Privacy Policy on the SPOTLITE website.

8. Dispute Resolution

a. Jurisdiction: Any disputes arising out of or related to these Terms of Use shall be governed by and construed in accordance with the laws of Alberta, Canada.

9. Prohibited Conduct

a. Misuse: Users agree not to misuse the SPOTLITE platform, including engaging in any unlawful or prohibited activities.

10. Intellectual Property

14. Platform Overview

SPOTLITE provides a platform for individuals, artists, businesses, and organizations (“Organizers”) to design and sell custom apparel and merchandise to their supporters (“Supporters”) worldwide. Users collectively include Organizers, Supporters, and anyone accessing the platform (“you”).

15. Account Creation

a. Age Requirement: You must be at least thirteen (13) years old to create an SPOTLITE account. To pay or accept money, additional requirements apply.

b. Accurate Information: You must provide accurate information during account registration. Failure to do so may limit account access.

16. Security

a. Account Security: You are solely responsible for securing your account. Damages resulting from failure to do so are not covered by SPOTLITE.

b. Password Protection: Keep your password confidential. You are responsible for all account activity. Report compromised accounts promptly.

17. User Conduct

a. Content Ownership: Content submitted to SPOTLITE must be owned by you or used under appropriate licenses.

b. Prohibited Content: Content must not violate laws, infringe on rights, or encourage illegal acts. SPOTLITE reserves the right to edit or remove content.

18. Intellectual Property

a. Ownership: Users own their submitted content. SPOTLITE retains ownership rights in designs created by its designers.

b. Use of Content: SPOTLITE may use and publicly display user content for promotional purposes.

19. Campaign Creation

a. Organizer Responsibilities: Organizers must provide evidence of owning necessary intellectual property rights.

b. Fraud Prevention: SPOTLITE takes fraud seriously. Fraudulent activity may result in account termination or fund withholding.

c. Payouts: Payouts for successful campaigns are processed through PayPal or etransfer. Organizers are responsible for accurate contact information.

20. Buyer Agreement

a. Order Placement: Buyers warrant authorized use of payment methods. Providing inaccurate information may result in order cancellation.

b. Shipping and Returns: Products are shipped to the designated address. Custom-made products are not returnable for any reason.

21. Taxes

a. Tax Responsibility: Users are responsible for reporting and paying applicable taxes on earnings.

22. Limitation of Liability

a. Disclaimer: SPOTLITE is provided “as is” without warranties. SPOTLITE is not liable for incidental, consequential, or punitive damages.

23. Disputes

a. Arbitration: Disputes must be resolved through arbitration in Alberta, Canada. Users waive the right to trial by jury or class action.
